Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Emirate ERP Technology LLC ("we," "us," "our"), a company registered and operating under the laws of the Emirate of Dubai, United Arab Emirates, concerning your access to and use of the Emirate ERP software-as-a-service (SaaS) platform.

By accessing the platform, you agree that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND MUST DISCONTINUE USE IMMEDIATELY.

2. Eligibility & Age Restriction

You must be at least 18 years of age to use this platform. By using Emirate ERP, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into binding agreements under UAE law.
• If acting on behalf of a business entity, you have the authority to bind that entity to these Terms.
• All registration information you submit is true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.
• You hold a valid UAE trade license or equivalent business authorization for the activities conducted via the platform.

3. User Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and access tokens. You agree to accept responsibility for all activities that occur under your account.

• You must immediately notify us of any unauthorized use of your account.
• We recommend enabling two-factor authentication (2FA) for enhanced security.
• You must not share your login credentials with any third party.
• We reserve the right to suspend or terminate accounts that show signs of unauthorized access.

4. Financial Data & Liability Disclaimer

Emirate ERP provides tools to assist with accounting, VAT compliance, corporate tax tracking, payroll management (WPS), and eInvoicing within the UAE. However, Emirate ERP does not provide certified financial, tax, or legal advice.

We strongly recommend that all tax returns be reviewed by a registered UAE tax agent or chartered accountant before submission to the FTA.

5. Subscriptions & Billing

Access to certain features requires a paid subscription. By subscribing, you agree to the following:

• Subscription fees are billed in advance on a monthly or annual basis, as selected at checkout.
• All prices are in AED (UAE Dirham) unless stated otherwise, and are exclusive of VAT (5%).
• VAT will be added to subscription fees as required by UAE tax law.
• Failed payments will result in a 7-day grace period, after which access may be suspended.
• We reserve the right to adjust pricing with 30 days' prior notice to existing subscribers.

6. Billing, Subscription Changes & Refund Policy

The following rules govern all plan upgrades, downgrades, cycle switches, and cancellations. These rules are final and are applied automatically by the platform.

6.1 Tier Upgrades (Monthly or Yearly)

Upgrading to a higher-tier plan takes effect immediately. A prorated charge for the remaining days of your current billing period is applied at the time of upgrade. Your existing billing anniversary date remains unchanged.

6.2 Tier Downgrades — Monthly Subscriptions

Downgrading to a lower-tier plan on a monthly subscription takes effect at the end of the current monthly period. No immediate change is made. No refund is issued for the current period.

6.3 Switching from Monthly to Yearly (same tier)

Switching your billing cycle from monthly to yearly takes effect at the end of the current monthly period. Your yearly subscription begins at the start of the next cycle. No refund is issued for the current month.

6.4 Switching from Yearly to Monthly (same tier)

Switching from yearly to monthly billing takes effect at the end of your current yearly period. Monthly billing begins with the next renewal. No refund is issued for unused months of your yearly subscription.

6.5 Tier Downgrades — Yearly Subscriptions

Downgrading to a lower-tier plan on a yearly subscription takes effect at the end of the current yearly period. No refund is issued for the remaining months.

6.6 Cancellation

You may cancel your subscription at any time. Upon cancellation, your service continues until the end of your current paid period (monthly or yearly). No refund is issued for unused time. Access is revoked when the paid period expires.

6.7 Exceptional Refunds

Refunds may be granted at Emirate ERP's sole discretion in the following cases only:

• Verified technical issues that prevented service use for more than 7 consecutive days due to our fault.
• Duplicate charges caused by a billing error on our part.
• Errors caused by Emirate ERP that resulted in an incorrect charge.

To request a refund, email support@emirateerp.com with your company name, invoice number, and reason. We respond within 5 business days. Customers must contact support before filing a chargeback. Chargebacks without prior support contact may result in immediate account suspension.

7. Acceptable Use Policy

You agree NOT to use Emirate ERP to:

• Submit false, misleading, or fraudulent financial records or tax filings.
• Engage in money laundering, terrorist financing, or any activity prohibited by UAE Federal Decree-Law No. 20 of 2018 (Anti-Money Laundering).
• Attempt to gain unauthorized access to other users' accounts or data.
• Reverse engineer, decompile, or disassemble any portion of the platform.
• Use automated tools (bots, scrapers) to extract data from the platform without written consent.
• Upload malicious software, viruses, or any code designed to disrupt the service.
• Use the platform to violate any applicable UAE federal or emirate-level laws.
• Share, resell, or sublicense access to the platform without our prior written approval.

Violation of this Acceptable Use Policy may result in immediate account suspension or termination.

8. Intellectual Property

8.1 Our IP

The Emirate ERP platform, including all source code, algorithms, AI models, user interface designs, trademarks, logos, documentation, and proprietary technology, is the exclusive intellectual property of Emirate ERP Technology LLC. All rights reserved.

8.2 Your Content

You retain full ownership of all financial data, invoices, reports, and documents you create using the platform ("Your Content"). By using Emirate ERP, you grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing and improving our services.

8.3 AI Training

We will only use anonymized and aggregated data to improve our AI/OCR models, and only with your explicit opt-in consent. Your identifiable financial data is never used for AI training without consent. See our Privacy Policy for details.

9. Data Portability & Export

You have the right to export all of Your Content at any time via the Settings → Data Privacy & PDPL page. Exportable data includes:

• Account profile information (JSON format)
• All financial records: invoices, journal entries, bills, payments
• Tax reports: VAT returns, Corporate Tax workpapers, FAF audit files
• Payroll records and WPS submission history
• Audit logs and activity history

Upon account deletion, we will retain financial records for the statutory 5-year period as required by UAE law, after which they will be securely deleted.

10. Service Level Agreement (SLA)

We commit to the following service levels for paid subscribers:

SLA credits must be requested within 30 days of the downtime event by emailing support@emirateerp.com.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, EMIRATE ERP TECHNOLOGY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

Our total aggregate liability to you for all claims arising from or related to these Terms or the platform shall not exceed the total fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Emirate ERP Technology LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

• Your use or misuse of the platform.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any FTA penalties resulting from tax submissions you made using the platform.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at support@emirateerp.com. We will endeavor to resolve the dispute within 30 business days.

14.2 Arbitration

If the dispute cannot be resolved informally, it shall be finally settled by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with the DIAC Arbitration Rules in effect at the time. The arbitration shall take place in Dubai, UAE, and shall be conducted in the English language. The decision of the arbitrator shall be final and binding.

14.3 Jurisdiction

For matters not subject to arbitration, the competent courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction.

15. Electronic Communications

By using the platform, you consent to receiving electronic communications from us in accordance with UAE Federal Decree-Law No. 46 of 2021 (Electronic Transactions and Trust Services Law). Electronic signatures, contracts, and invoices generated through the platform are deemed legally valid under this law.

16. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees. Upon termination:

• You will retain the ability to export your data for 30 days after termination.
• Financial records are retained for the statutory 5-year period per UAE law.
• All other personal data will be deleted within 90 days.

17. Changes to These Terms

We may revise these Terms at any time. Material changes will be communicated 30 days in advance via email or in-app notification. Continued use after the effective date of changes constitutes acceptance of the revised Terms.
